Distribution Rights Agreement

This Distribution Rights Agreement (the "Agreement") is made and entered into as of [February 14, 2024], by and between [Elite Creators Academy] ("Company"), and the buying of the [Elite Creators Roadmap] ("Product").

1. Grant of Distribution Rights: Subject to the terms and conditions of this Agreement, Company hereby grants Distributor the non-exclusive right to distribute and resell the following products and/or services (the "Elite Creators Roadmap"):

2. Territory: The territory covered by this Agreement shall be [Hoschton, Georgia].

3. Distribution Obligations: Distributor agrees to use commercially reasonable efforts to promote, market, and sell the Products within the Territory. Distributor shall not engage in any deceptive, misleading, or unethical practices in connection with the distribution and sale of the Products.

4. Pricing and Payment: The pricing of the Products and payment terms shall be as mutually agreed upon by the parties and set forth in a separate pricing schedule or agreement.

5. Intellectual Property: Distributor acknowledges and agrees that all intellectual property rights in and to the Products, including but not limited to trademarks, copyrights, and trade secrets, are and shall remain the exclusive property of Company.

6. Term and Termination: This Agreement shall commence on the Effective Date and shall continue in effect until terminated by either party upon

written notice to the other party. Either party may terminate this Agreement immediately upon written notice for material breach by the other party.

7. Confidentiality: During the term of this Agreement and thereafter, Distributor agrees to keep confidential and not disclose to any third party any confidential information or trade secrets of Company.

8. Indemnification: Distributor agrees to indemnify, defend, and hold harmless Company from and against any and all claims, losses, liabilities, damages, costs, and expenses arising out of or relating to Distributor's breach of this Agreement.

9. Governing Law:This Agreement shall be governed by and construed in accordance with the laws of [Hoschton, Georgia]

without regard to its conflicts of law provisions.

10. Entire Agreement: This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.
